HyperUnit Terms of Service
Welcome to HyperUnit! These Terms of Service ("Terms") govern your access to and use of HyperUnit's modular smart device ecosystem, including our website, mobile applications, hardware products, software, and related services (collectively, the "Services"). By using HyperUnit Services, you agree to these Terms.
1. Acceptance of Terms
By accessing or using HyperUnit Services, you confirm that:
- You are at least 18 years old or have parental/guardian consent
- You have the legal capacity to enter into binding agreements
- You will comply with these Terms and all applicable laws
- All information you provide to HyperUnit is accurate and truthful
- You will maintain the security of your HyperUnit account
2. HyperUnit Account

- You engage in fraudulent or illegal activities
- Your account is inactive for an extended period
- We are required to do so by law
3. Use of HyperUnit Services
3.1 Permitted Use
HyperUnit grants you a limited, non-exclusive, non-transferable license to use HyperUnit Services for personal or business purposes in accordance with these Terms. You may use HyperUnit products and services for:
- Home automation and smart home applications
- Business IoT solutions and operations optimization
- Personal health and wellness monitoring
- Other lawful purposes consistent with HyperUnit's intended use
3.2 Prohibited Activities
When using HyperUnit Services, you agree NOT to:

4. HyperUnit Products and Purchases
4.1 Product Orders
When you purchase HyperUnit products:
- All orders are subject to acceptance and availability

- You agree to pay all applicable taxes and shipping fees

HyperUnit offers a 30-day return policy for defective or unsatisfactory products:

10. Warranties and Disclaimers

10.2 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED, HYPERUNIT SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPERUNIT DISCLAIMS ALL WARRANTIES, INCLUDING:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR AVAILABILITY
- UNINTERRUPTED OR ERROR-FREE OPERATION
HYPERUNIT DOES NOT GUARANTEE THAT SERVICES WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
HYPERUNIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
- Loss of profits, data, or business opportunities
- Service interruptions or failures
- Unauthorized access to your data
- Errors or inaccuracies in content
- Third-party actions or services
HYPERUNIT'S TOTAL LIABILITY FOR ANY CLAIM UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO HYPERUNIT IN THE 12 MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless HyperUnit, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of HyperUnit Services
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Your content or data
- Unauthorized access to your account
13. Dispute Resolution
13.1 Informal Resolution
If you have a dispute with HyperUnit, please contact our support team first. We will attempt to resolve disputes informally before formal proceedings.
13.2 Arbitration Agreement
Any dispute arising from these Terms or HyperUnit Services shall be resolved through binding arbitration rather than court, except:
- Small claims court actions
- Intellectual property disputes
- Actions to enforce arbitration awards
Arbitration will be conducted by a neutral arbitrator in accordance with applicable arbitration rules. You and HyperUnit waive the right to a jury trial and class actions.
13.3 Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any legal action must be brought in state or federal courts located in California.
14. Changes to Terms
HyperUnit may modify these Terms at any time. We will notify you of material changes by:

- Updating the "Last Updated" date
- Sending email notifications
- Displaying notices in HyperUnit applications
Your continued use of HyperUnit Services after changes constitutes acceptance of the updated Terms. If you do not agree to changes, you must stop using HyperUnit Services.
15. Termination
15.1 Termination by You
You may terminate your HyperUnit account at any time by contacting customer support. Upon termination:
- Your access to Services will cease
- Your data may be deleted according to our retention policies
- Purchased products remain functional but may have limited features
- No refunds for prepaid services unless required by law
15.2 Termination by HyperUnit
HyperUnit may suspend or terminate your account and access to Services if:

- Required by law or government order
15.3 Effect of Termination
Upon termination of your account:

16. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HyperUnit regarding Services and supersede all prior agreements.
16.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
16.3 No Waiver
HyperUnit's failure to enforce any provision does not constitute a waiver of that provision or our rights.
16.4 Assignment
You may not assign these Terms without HyperUnit's written consent. HyperUnit may assign these Terms to any affiliate or successor.
16.5 Force Majeure
HyperUnit is not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, wars, pandemics, or infrastructure failures.
16.6 Export Compliance
HyperUnit products and services may be subject to export control laws. You agree to comply with all applicable export regulations and not to export or re-export HyperUnit products to prohibited countries or individuals.
